The National Company Law Tribunal (NCLT) is a quasi-judicial body that adjudicates disputes under the Companies Act 2013 and the Insolvency and Bankruptcy Code 2016. It handles oppression and mismanagement petitions, insolvency proceedings, mergers and winding up.
Under Sections 241โ242 of the Companies Act 2013, a member holding at least 10% of paid-up share capital can petition NCLT if the company's affairs are being conducted in a manner prejudicial to the member's interests or the public interest.
CIRP is initiated under the Insolvency and Bankruptcy Code when a financial creditor, operational creditor or the corporate debtor itself files an application before NCLT. The process has a 330-day outer limit and results in either a resolution plan or liquidation.
Yes. A minority shareholder holding 10% or more of issued share capital (or 1/5th of the total number of members) can petition NCLT for relief against oppression and mismanagement โ even if they do not have a board seat.
