What is needed to increase paid up capital
Authorised Capital Check
Paid up capital cannot exceed authorised capital. If needed, authorised capital must be increased first via SH-7.
Board Resolution
A board resolution must authorise the allotment โ specifying number of shares, face value and allottees.
Shareholder Approval (if required)
Private placement or preferential allotment requires a special resolution passed at an EGM or by postal ballot.
Receipt of Share Application Money
Share application money must be received before allotment. Allotment cannot precede receipt of funds.
PAS-3 Within 30 Days
Form PAS-3 must be filed with the ROC within 30 days of the date of allotment to avoid penalties.
Share Certificates Within 60 Days
Share certificates must be issued to allottees within 60 days of the date of allotment as per Companies Act.
Paid up capital cannot exceed authorised capital. If your company's authorised capital is already at its limit, you must file Form SH-7 and amend the MOA before allotting new shares. We handle both steps together to avoid delays.

Paid up capital is the amount of money a company has received from shareholders in exchange for shares. It is the portion of authorised capital that has actually been issued and paid for by shareholders.
Authorised capital is the maximum share capital a company is permitted to issue under its MOA. Paid up capital is the actual amount received from shareholders against shares issued. To increase paid up capital beyond authorised capital, the authorised capital must first be increased.
Form PAS-3 (Return of Allotment) is filed within 30 days of allotment of shares. If authorised capital also needs to increase, Form SH-7 is filed along with the altered MOA.
Yes. A board resolution authorises the allotment of shares. If new shares are issued other than to existing shareholders on a rights basis, a special resolution of shareholders may also be required.
Yes. Shares can be issued at a premium. The premium amount goes to the Securities Premium Account and is not part of paid up capital itself, but the face value of shares issued increases the paid up capital.
