What is needed to appoint a director
Valid DIN
The incoming director must have a valid DIN โ if not, we apply for DIR-3 KYC and obtain a DIN first.
DIR-2 Consent
Written consent to act as director signed by the incoming director before the board resolution is passed.
Not Disqualified
Director must not be disqualified under Section 164 โ we verify DIN status on MCA before proceeding.
Board Resolution
Valid board resolution by existing directors appointing the new director as an additional director.
DIR-12 Within 30 Days
Form DIR-12 must be filed with the ROC within 30 days of the date of appointment โ no exceptions.
AGM Regularisation
Additional director's term expires at the next AGM โ regularisation resolution must be passed to continue.
