A show cause notice (SCN) is a formal communication from a regulatory authority โ RBI, SEBI, ROC, income tax โ asking the company or individual to explain why a specified action should not be taken against them. It is the first step in most enforcement proceedings.
Response timelines vary by authority โ typically 15 to 30 days from receipt. RBI SCNs for FEMA violations usually allow 15 days. SEBI and ROC notices typically allow 21 to 30 days. Missing the deadline results in an ex-parte order.
An ex-parte order is passed by a regulatory authority when the party against whom the notice was issued fails to respond or appear. It is based only on the authority's findings โ the party loses the opportunity to present their side. Ex-parte orders are difficult and expensive to reverse on appeal.
Not without strategy. Where a violation is clear, acknowledging it while providing mitigating context and demonstrating subsequent remediation often results in a lower penalty than contesting a clear violation. The response strategy depends on the nature and severity of the violation.
