What FLA return compliance requires

Who Must File

Every company that has received FDI or made ODI β€” even if the investment was received years ago β€” must file the FLA return annually.

Deadline: 15 July

FLA return must be filed by 15 July for the preceding financial year ending 31 March β€” no extensions.

FIRMS Portal Filing

FLA return must be filed on the RBI FIRMS portal β€” email or offline filing is not accepted.

AD Bank Certificate

The company's Authorised Dealer Bank must certify the FLA data before submission on FIRMS.

All Schedules Completed

Frequently asked questions

The Foreign Liabilities and Assets (FLA) return is an annual return filed with the Reserve Bank of India. It captures a company's outstanding foreign liabilities (FDI received, ECB, trade credit) and foreign assets (ODI made, overseas loans given) as at 31 March each year.

All Indian companies and LLPs that have received FDI, made overseas direct investment (ODI), have outstanding ECB, or have other foreign liabilities or assets must file the FLA return β€” regardless of when the investment was made.

The FLA return must be filed by 15 July every year for the financial year ending 31 March. There is no provision for extension. Delayed filing attracts penalty under FEMA.

Non-filing or delayed filing of the FLA return attracts a penalty of up to Rs. 2 lakhs and a continuing penalty of Rs. 5,000 per day. The RBI may also issue a show cause notice and require compounding of the violation.

Yes. As long as the FDI is outstanding β€” even if the company has no current activity β€” the FLA return must be filed annually until the FDI is repatriated or the company is wound up.
