Key Requirements

What is needed for SSE registration

Primacy of Social Intent

The entity must demonstrate that social impact is its primary objective, evidenced through its objects clause and actual activities.

Eligible Activity

Work must fall within the broad activity list notified by SEBI โ€” education, healthcare, livelihoods, environment, gender equality and similar areas.

Valid Registration

The NPO must be a validly registered trust, society or Section 8 company with the registration certificate in force.

12A and 80G Orders

Valid Income Tax registrations under Section 12A and 80G are expected as part of the eligibility documentation.

Track Record and Spend

Minimum years of operation, annual spend and past funding thresholds prescribed by the exchange must be met and evidenced.

Audited Financials

Audited financial statements and Income Tax returns for the preceding financial years must be available for filing.

ℹ️

Registration and fund raising are two separate steps. An NPO may register on the SSE for visibility and disclosure alone, and issue ZCZP instruments later โ€” we advise on the right sequence for your organisation.

FAQ

Frequently asked questions

The Social Stock Exchange is a separate segment of a recognised stock exchange, notified by SEBI, that allows Not for Profit Organisations and For Profit Social Enterprises to raise funds and report social impact in a regulated, transparent manner.

Not for Profit Organisations such as trusts, societies and Section 8 companies, and For Profit Social Enterprises, can register provided they establish primacy of social intent and work in an eligible activity listed in the SEBI ICDR Regulations.

Zero Coupon Zero Principal instruments are securities issued by a registered NPO on the Social Stock Exchange. They carry no interest and no repayment of principal โ€” the subscriber is effectively making a donation that is recorded and tracked on the exchange.

No. Registration establishes eligibility on the exchange. An NPO may register and only disclose, or it may go further and list a ZCZP issue to actually raise funds. Beyonte Compliance assists with both stages.

Registered entities must file annual disclosures covering governance, financials and social impact, along with an annual impact report assessed by a SEBI accredited social impact assessor.
