What is needed for AIF registration

Correct Category

Category I for start-up, SME, social and infrastructure funds; Category II for private equity and debt funds; Category III for hedge and long short strategies.

Minimum Corpus

Each scheme must reach the minimum corpus prescribed under the AIF Regulations before it begins investing.

Minimum Investment

Each investor must commit at least the prescribed minimum, with a relaxed threshold for employees and directors of the manager.

Continuing Interest

The sponsor or manager must maintain continuing interest in the fund at the percentage prescribed for the category.

Fit and Proper

The sponsor, manager and key personnel must satisfy the fit and proper criteria and hold the required qualifications and NISM certification.

Registered Office & Infra

The applicant must have adequate office infrastructure, manpower and the ability to discharge fund management activities in India.

Frequently asked questions

An AIF is a privately pooled investment vehicle registered with SEBI that collects funds from sophisticated investors, Indian or foreign, and invests them according to a defined strategy. It is distinct from mutual funds and collective investment schemes.

Category I covers funds investing in start-ups, SMEs, infrastructure and socially desirable sectors. Category II covers private equity and debt funds that do not use leverage for operations. Category III covers funds using complex or leveraged strategies such as hedge funds.

AIFs are open to Indian residents, NRIs and foreign investors who can meet the minimum commitment prescribed under the AIF Regulations. Each scheme is also subject to a cap on the number of investors.

Once a complete Form A application with the PPM and supporting documents is filed, SEBI typically grants registration within a few months, depending on the number of clarifications raised.

Registered AIFs must file periodic reports with SEBI, carry out an annual PPM audit where applicable, follow prescribed valuation norms and provide regular reporting to investors.
