What is needed for a stock broker license
Corporate Structure
A company or LLP is preferred, with broking activity clearly stated in the objects clause of the constitution documents.
Net Worth
Minimum net worth prescribed by the exchange for each segment, certified by a Chartered Accountant and maintained continuously.
Base Minimum Capital
Deposits and base minimum capital placed with the exchange according to the segments and terminals applied for.
Qualified Personnel
Directors, compliance officer and approved users must hold valid NISM certifications and meet experience norms.
Office Infrastructure
Dedicated office space, trading terminals, back office software and a designated compliance officer are mandatory.
Fit and Proper
The applicant, its directors and shareholders must satisfy the fit and proper criteria under SEBI intermediary regulations.

Any person or entity that buys or sells securities on behalf of clients on a recognised stock exchange must be registered as a stock broker with SEBI. Trading only for oneself as a client does not require registration.
The regulations allow individuals and partnership firms in certain cases, but exchanges in practice prefer companies and LLPs because of net worth, infrastructure and succession requirements.
Membership is granted by the stock exchange and allows access to its trading platform. SEBI registration is the statutory licence, and the application is routed to SEBI through the exchange after membership is approved.
