Key Requirements

What is needed for mutual fund registration

Sponsor Track Record

The sponsor must have a sound financial track record over the prescribed number of preceding years and a general reputation for fairness in business.

Sponsor Contribution

The sponsor must contribute the prescribed minimum share of the net worth of the asset management company.

AMC Net Worth

The asset management company must maintain the minimum net worth prescribed under the Mutual Funds Regulations at all times.

Separate Trustee

The mutual fund must be constituted as a trust with a trustee company, and the required proportion of trustees must be independent.

Key Personnel

Fund managers, compliance officer and other key personnel must hold prescribed qualifications, certifications and relevant experience.

Fit and Proper

The sponsor, trustees, AMC and its directors must satisfy the fit and proper criteria and have no adverse regulatory record.

ℹ️

Registration and scheme launch are separate approvals. The mutual fund is registered first, and each scheme is then filed with SEBI for observations before it can open for subscription โ€” we run both stages.

Common Pitfalls

Common issues in mutual fund registration

Track record shortSponsor cannot evidence profitability for the full prescribed period โ€” application does not clear the first stage.
Net worth erodedAMC net worth falls below the prescribed floor during processing โ€” SEBI requires it to be restored before proceeding.
Trustee independenceIndependent trustee proportion not met or trustees linked to the sponsor โ€” a direct regulatory objection.
Conflicted structureAMC undertaking other business without segregation and approval โ€” raises conflict of interest concerns.
Weak scheme documentsSID and KIM missing prescribed risk and expense disclosures โ€” observations delay the scheme launch.
Key personnel gapFund manager or compliance officer not in place at the time of approval โ€” a mandatory condition left open.

FAQ

Frequently asked questions

A body corporate with a sound financial track record over the preceding years, positive net worth and a clean regulatory record can act as a sponsor, subject to SEBI being satisfied on the fit and proper criteria.

An Indian mutual fund is a three tier structure โ€” a sponsor that establishes the fund, a trust with a trustee company that holds assets for unit holders, and an asset management company that manages the schemes.

Yes. After the mutual fund is registered, every scheme must be filed with SEBI with its Scheme Information Document, and the scheme can open only after SEBI observations are incorporated.

Because the process involves eligibility approval, entity formation and scheme filing, a realistic timeline runs into several months, driven largely by how quickly sponsor and personnel documentation is ready.

Registered funds must follow prescribed investment limits, valuation and expense norms, publish periodic portfolio and NAV disclosures, file returns with SEBI and report to unit holders regularly.
