What is needed for CIS registration
CIS Management Company
Only a company registered under the Companies Act with the objects to organise and manage collective investment schemes can apply.
Minimum Net Worth
The CIMC must maintain the minimum net worth prescribed under the CIS Regulations throughout the period of registration.
Separate Trustee
A trustee independent of the CIMC must hold the scheme property in trust for unit holders under a registered trust deed.
Scheme Rating and Appraisal
Each scheme must be rated by a registered credit rating agency and appraised by an appraising agency before the offer.
Adequate Infrastructure
Office space, manpower and systems capable of managing the scheme and servicing unit holders must be in place.
Fit and Proper
Directors and key personnel of the CIMC must satisfy the fit and proper criteria and have no adverse regulatory history.
Running a collective investment scheme without registration is an offence. Unregistered schemes attract refund directions and penal action, so classification should be settled before any money is accepted from investors.

A collective investment scheme is an arrangement where contributions from investors are pooled and managed on their behalf with a view to receiving profits or income, where investors do not have day to day control over the management of the scheme.
Deposits accepted under company law, insurance and pension schemes, chit funds, cooperative society schemes, mutual funds and certain other arrangements specifically excluded under the SEBI Act are outside the CIS definition.
Only a Collective Investment Management Company โ a company incorporated under the Companies Act with the object of organising and managing such schemes and meeting the prescribed net worth โ can apply to SEBI.
SEBI can direct the promoters to wind up the scheme and refund investor money with returns, and can also initiate penal and prosecution proceedings against those responsible.
The manager must file periodic reports with SEBI, maintain and value scheme property, get accounts audited, publish prescribed disclosures and service unit holders in the manner set out in the CIS Regulations.
